Tan Si Qi is a Partner in Rajah & Tann Singapore’s Capital Markets and Mergers & Acquisitions Practice Group.

She regularly advises issuers and issue managers on initial public offerings and listings, secondary listings and secondary fundraisings on the SGX-ST, as well as other recognised stock exchanges. She also advises SGX-ST-listed issuers on their corporate actions, continuing obligations and compliance matters, as well as Singapore companies on general corporate and commercial matters.

She graduated with her LL.B. from the National University of Singapore, in 2018. She is proficient in both English and Mandarin.

In 2024, she was seconded to a leading law firm in Shanghai, as part of the inaugural Singapore-Shanghai Lawyers Exchange Programme jointly organised by the Singapore Ministry of Law, the Law Society of Singapore, the Shanghai Municipal Bureau of Justice, and the Shanghai Bar Association.

Corporate Finance – Listings and other corporate actions

  • Acting for the issue manager in the secondary listing of Concord New Energy Group Limited, a globally recognised renewable energy company, on the Main Board of the SGX-ST.
  • Advised Yangzijiang Financial Holding Ltd., which is listed on the Main Board of the Singapore Exchange Securities Trading Limited, in its S$2.04 billion spin-off and introductory listing of Yangzijiang Maritime Development Ltd. on the Main Board of the SGX-ST.
  • Advised Yangzijiang Shipbuilding (Holdings) Ltd., which is listed on the Main Board of the Singapore Exchange Securities Trading Limited, in its S$4.25 billion spin-off and introductory listing of Yangzijiang Financial Holding Ltd. (based on its book value and net tangible assets) on the Main Board of the SGX-ST.
  • Acted for the issue manager in the secondary listing of Comba Telecom Systems Holdings Limited, a leading global solutions and services provider of wireless and information communications systems, on the Main Board of the SGX-ST.
  • Acted for Winking Studios Limited, Asia’s third largest game art sourcing studio, in its listing on the Catalist of the SGX-ST. This is the first game art outsourcing studio to be listed on the Catalist of the SGX-ST.
  • Advised Winking Studios Limited, in relation to its dual listing on the AIM Market of the London Stock Exchange.
  • Acted for Nanshan Aluminium International Holdings Limited in its HK$2.2 billion initial public offering and listing on the Mainboard of the Hong Stock Exchange.
  • Acted for US Tiger Securities, Inc., the underwriter, in connection with the IPO and listing of HomesToLife Ltd. on the Nasdaq Capital Market. HomesToLife Ltd. is one of the leading home furniture retailers that offers and sells customised furniture solutions in Singapore.
  • Acted for the underwriter, R. F. Lafferty & Co., Inc., in the IPO of Uni-Fuels Holdings Limited on the Nasdaq Capital Market. Uni-Fuels is a service provider of marine fuels solutions headquartered in Singapore, and is the first Singapore-based marine fuel provider to be listed in the United States.
  • Acting for DBS Bank Ltd., Oversea-Chinese Banking Corporation Limited, and United Overseas Bank Limited in relation to an equity fund raising undertaken by Keppel REIT Management Limited, in its capacity as manager of Keppel REIT, to raise gross proceeds of no less than approximately S$886.3 million. The equity fund raising comprised a non-renounceable preferential offering.
  • Acted for DBS Bank Ltd., Oversea-Chinese Banking Corporation Limited, and United Overseas Bank Limited in relation to an equity fund raising undertaken by Keppel REIT Management Limited, in its capacity as manager of Keppel REIT, in connection with a S$113 million private placement to fund its 75% acquisition of Sydney’s Top Ryde City Shopping Centre.

Mergers & Acquisitions

  • Acted for Float Private Limited, the producer of Singapore’s first oat milk brand “OATSIDE”, in its Series B funding round. The funding round was led by private equity firm TR Capital, with follow on investments from existing investors GGV Capital and Temasek Holdings and participation from investors Tangram Asia Capital and AC Ventures.
  • Successfully acted for Transmedic Group in its acquisition of PacificSurgical, Inc., which is one of the leading medical device and equipment distributors in the Philippines focusing on spine, joints, biologics, sports and surgical technologies to treat conditions associated with aging or injury.
  • Successfully acted for Transmedic Group in its acquisition of Malex Medical Asia. Malex Medical Asia is one of the market leaders in Orthopaedic Sports Medicine in Malaysia. Headquartered in Singapore, Transmedic operates six additional branch offices in Malaysia, Thailand, Indonesia, Hong Kong, the Philippines, and Vietnam and is the leading independent medical technology distribution partner for world-class medical institutions and professionals in ASEAN and Hong Kong.
