Rajah & Tann Singapore, member firm of Rajah & Tann Asia, successfully acted for the co-founder of the Chang Cheng Group in a shareholder dispute before the Appellate Division of the High Court. In the appeal, we established the existence and terms of an oral agreement between two former business partners, despite competing accounts of an alleged arrangement. The Court ruled in favour of our client and clarified that subsequent conduct, what parties say and do after purportedly entering into a contract, is relevant in determining whether a contract was formed. The Court also confirmed that it can consider, but will not scrutinise, the commercial plausibility of the proposed deal in deciding if a contract was formed.
