Advised Pine Labs Limited on its landmark cross-border amalgamation with its Indian subsidiary, Pine Labs Limited (‘PLI”). This transaction structure was then unprecedented and marked the first of the cross-border amalgamations between a Singapore-incorporated company and a foreign company utilising a structure sanctioned by the Singapore courts. PLI successfully listed its shares on the National Stock Exchange and BSE in India on 14 November 2025, a transaction we are also proud to have supported. The transaction structure which was pioneered by Rajah & Tann Singapore, has since become a model adopted by other companies seeking similar cross-border solutions. Partners Evelyn Wee, and Jasselyn Seet from our M&A Practice, and Partners Sim Kwan Kiat, and Raelene Pereira from our Restructuring & Insolvency Practice, led the transaction, with court hearings helmed by Lee Eng Beng, Senior Counsel. Partners Benjamin Cheong and Justin Lee from our TMT practice advised on the intellectual property aspects of the transaction.
