Jasmine is the Deputy Head of the Funds & Investment Management Practice Group in Rajah & Tann Singapore.
Jasmine has over 15 years of experience specialising in fund management and investment advisory services and advises on the establishment and structuring of both onshore and offshore investment funds.
Jasmine has a strong practice since 2006 and regularly assisting with the establishment of the Singapore based fund managers, as well as the formation of Singapore and offshore funds with a broad spectrum of strategies and investment focus in multiple jurisdictions such as Japan, China, India, Vietnam and Singapore.
She has extensive experience in the formation of a wide variety of onshore and offshore investment vehicles, including hedge funds and private equity funds, through the use of master-feeders, standalone or fund of funds setups. She has worked with fund managers and advisors on legal structure and formation issues, marketing arrangements, general corporate governance, compliance matters and other related regulatory matters.
Apart from funds formation, Jasmine also advises on ongoing funds related matters such as in potential funds disputes and restructuring of offshore investment funds, including the setting up of side pocket structures for existing funds for special situation investments. She is also experienced in advising investment funds and fund managers on issues relating to the imposition of gates on redemptions by investors and the grant of preferential rights and side letters by the fund to seed investors.
Jasmine is also experienced in leading in restructuring, winding up and liquidation of offshore investment funds and is familiar with the legal and operational issues and procedures with respect to the restructuring, winding up and liquidation of such offshore investment fund structures.

EXPERIENCE
- Acted as lead Singapore counsel for a number of large asset management groups in applying to the Monetary Authority of Singapore (“MAS“) for a capital markets services licence for fund management and advised on establishing a Singapore office to carry out fund management services.
- Advised fund management companies on their compliance and regulatory requirements on an ongoing basis.
- Advised on and led in the redomiciliation of existing foreign funds into Singapore, including transfer of its corporate registration in the Cayman Islands to Singapore in the form of a variable capital company (“VCC“).
- Advised on and acted as fund lead and/or Singapore legal counsel on the establishment of various offshore investment funds, the VCC and the various trading / investment vehicles for a wide variety of strategies and geographical coverage.
- Acted for an investment platform in its application to the MAS for a capital markets services licence for fund management and the establishment and development of its online platform for the provision of the digital advisory services.
- Acted for fund managers in the tokenisation of their units in the fund for listing and trading on token exchanges.
